3.10     MEMBERSHIP MEETINGS
A regular membership meeting shall be held annually at the National Gathering. The time and place of this meeting shall be determined by the Board of Directors and published in the Little Circus Wagon at least fifteen (15) days before the meeting. Special meetings of the membership may be called by the Board of Directors on the same fifteen (15) days notice. At all regular and special meetings of the membership, those members present shall constitute a quorum and majority of those members present shall constitute a majority.

ARTICLE 4.0 - BOARD OF DIRECTORS


4.1     COMPOSITION
The affairs of the Organization shall be managed on behalf of the membership by a Board of Directors consisting of eleven (11) officials who shall be elected by the membership, along with the Immediate Past President, and the Preceding Past President, plus the Secretary and Treasurer, who shall be appointed non voting members. The Secretary and Treasurer shall be appointed by the President and approved by the Board and will not have a vote but shall be advisors to the Board. In addition, the Board of Directors may appoint or request other persons to serve on the Board in an ex-officio capacity when and where deemed necessary. Such ex-officio appointments may include an Editor for the magazine, the Little Circus Wagon, or a Superintendent of Construction and/or Engineering. Ex-officio appointees shall have no voting privilege with respect to Board motions or calls for action.

4.1.1     VACANCIES
Vacancies on the Board of Directors may, as long as a quorum remains in office, be filled by the Board from eligible members of the Organization.

4.1.2     QUORUM OF THE BOARD OF DIRECTORS
Except where stated otherwise in the By-laws, a simple majority of elected Directors shall be considered a quorum of the Board.

4.1.2a     Persons holding proxy rights from an elected Director or other eligible Board Member shall be counted in determining a quorum to conduct business

4.2     ELIGIBILITY
All Directors shall be eighteen (18) years of age or more and shall have been fully accredited members of the Organization for a period of no less than twelve (12) months. No more than one member of an immediate family may serve on the Board of Directors at any one time. "Immediate family" means "anyone living in the same household."

4.3     ATTENDANCE AND/OR VOTING ON ISSUES AND MOTIONS
The nature of the Organization dictates that regular meetings of the Board of Directors as a whole in any one venue is not possible logistically and that the raising of issues, discussion, presentation of, and voting on motions will more frequently be conducted via
