     b)   act as a representative of the Board of Directors and the President within the geographical area defined as a Lot;

     c)   ensure that the activities of all affiliated local Rings are conducted in a manner which furthers the goals, Objectives, and principles of the Organization;

     d)   administer the By-laws, policies and procedures of the Organization within the Lot;

     e)   receive and process applications for affiliations from local Rings and aid such local Rings in their formation (this should be completed within a reasonable and timely manner, which means, within two weeks except under exceptional circumstances);

     f)   act as a resource to local organizations;

     g)   receive member complaints and forward such complaints together with any supporting documentation or information to the President and the Board of Directors for disposition and may make recommendation for such disposition, and respond to such complaints only when directed by the President or the Board of Directors.

     h)   make annual visits to Rings and similar local organizations when and as is reasonable;

     i)   submit interim and annual reports of activities within the Lot.

4.18.5     STANDARD OF CARE FOR OFFICERS
An officer shall perform his/her duties as an officer in good faith, in a manner he/she reasonably believes to be in the best interests of the Organization and with such care, including reasonable inquiry, skill and diligence as a person of ordinary prudence would use under the circumstances.

4.19     LIMITATION OF PERSONAL LIABILITY OF OFFICERS
An officer who performs his/her duties in accordance with Clause 4.18.5 shall not be personally liable for monetary damage, as such, by reason of having been an officer of the Organization.

ARTICLE 5.0 - ELECTION OF OFFICERS AND DIRECTORS


The election of the officers and Directors of this Organization shall take place every four years starting with the 2000 election. and in a timely fashion that the officers and Directors shall take office on January 1 following the election.

5.1     ELECTION COMMITTEE
