4.17.2 The term of office shall be for four (4) years. (This shall become effective with the 2000 election.)
4.18 RESPONSIBILITIES OF OFFICERS
4.18.1 PRESIDENT
The President shall be the Chief Executive Officer and shall act as the Chairperson of the Board of Directors in which capacities he/she will be responsible for:
a) timely and effective communications with other members of the Board of Directors and the membership in general;
b) making recommendations to the Board of Directors with respect to candidates to fill positions left vacant in both official and ex-officio functions. In an emergency or to meet an expeditious requirement, he/she may make such appointments on an interim basis and subject to subsequent approval and ratification by the Board of Directors at the next convened meeting of the Board of Directors. In the event that no such ratification be given the President shall then revert to the procedure to elect a candidate except for those positions deemed ex-officio and therefore not subject to the Election By-law;
c) the appointment and/or removal of heads of departments or may create such departments and make such appointments without prior consent of the Board of Directors. The creation of departments and the attendant appointments of heads of departments shall be subject to periodic review by the Board of Directors with respect to the goals and Objectives of the Organization. Such departments may include Photos, Plans, Author or Historian and appointments to such departments shall be designated as volunteer staff positions;
d) cosigning, with the Secretary-Treasurer or Treasurer, contracts, and orders of conveyance on behalf of the Organization for any goods and services received by the Organization;
e) ensuring that the Secretary and Treasurer fulfill the duties and responsibilities attendant to their respective offices as outlines in section 4.18.3.
f) ensuring that a budget for operations is prepared and submitted for review and approval by the Board of Directors at the Annual Board Meeting in the prior calendar year.
g) appointing three members of the Organization to serve as an audit committee or appoint a Certified Public Accountant, who will audit the books of account at the close of the calendar year and present the audited financial statements to the membership at the annual regular membership meeting at the National Gathering. The audit must be completed in time to file necessary federal and other tax reports.
